End User Licence Agreement (EULA)

This End User Licence Agreement ("EULA") is a legal agreement between you ("you" or "User") and OutClassAI ("Licensor", "we", "us") governing your use of the OutClassAI desktop application software, including any updates or supplemental services provided alongside it (the "Application").

By downloading, installing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Application.

This EULA should be read together with our Terms of Service and Privacy Policy, which are incorporated by reference.

1. Licence Grant

Subject to your acceptance of this EULA and your compliance with its terms, OutClassAI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable personal licence to:

  • Download and install one copy of the Application on a device that you own or control;
  • Use the Application solely for your own personal, non-commercial purposes in connection with your active OutClassAI account and subscription plan.

This licence does not include any right to use the Application on behalf of a third party or for any commercial purpose without prior written consent from OutClassAI.

2. Usage Restrictions

You must not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application, except to the extent expressly permitted by applicable law.
  • Copy, modify, or create derivative works based on the Application.
  • Redistribute, sublicense, lease, rent, sell, or transfer the Application or any rights in it to any third party.
  • Remove or alter any copyright notice, branding, or proprietary marking in the Application.
  • Use the Application in any context where the rules of the relevant examination body, employer, or assessment provider explicitly prohibit AI assistance tools — including but not limited to formal academic examinations, certification tests, or regulated professional assessments.
  • Use the Application to engage in any unlawful activity, including circumventing access controls or security mechanisms on third-party platforms.
  • Share your account credentials or allow another person to access or use the Application through your account.

3. Ownership and Intellectual Property

The Application is licensed to you, not sold. OutClassAI retains all title, ownership, and intellectual property rights in and to the Application, including all copies, modifications, and derivative works thereof. Your licence grants you only the limited rights expressly set out in Section 1.

All trade names, trademarks, service marks, and logos associated with the Application are the property of OutClassAI or its licensors and may not be used without our prior written consent.

4. Updates and Changes

We may release updates, patches, or new versions of the Application from time to time. Updates may be applied automatically or may require your manual action. By continuing to use the Application after an update, you agree to any changes introduced by that update.

We reserve the right to modify, suspend, or discontinue any feature of the Application, or to discontinue the Application entirely, with reasonable advance notice where practicable. We will endeavour to provide at least 30 days' notice of any discontinuation of the Service.

5. Data and Privacy

Interview session content (transcripts, audio, CVs, job descriptions, detected questions, contextual memory, AI suggestions) is primarily processed and stored locally on your device by the Application. Portions may be transmitted to OutClassAI backend services solely for real-time processing (such as generating live suggestions, contextual analysis, and interview documents). OutClassAI does not permanently store raw interview transcripts or full CV text on its servers, does not use this content to train AI models or profile users, and does not sell it or share it with advertisers.

Our handling of account data, usage data, and billing data is described in our Privacy Policy. By installing and using the Application, you acknowledge that you have read the Privacy Policy and consent to the data practices described therein.

6. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any of its terms.

We may also terminate this EULA at any time by discontinuing the Service, with reasonable advance notice as described in Section 4.

Upon termination, you must cease all use of the Application and delete all copies from your device. Sections 3, 7, and 8 survive any termination of this EULA.

7. Disclaimers and Limitation of Liability

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ANY WARRANTY THAT THE APPLICATION WILL BE UNDETECTED BY ANY MONITORING SYSTEM, PLATFORM, OR ASSESSMENT PROVIDER. DETECTION TECHNOLOGIES AND PLATFORM POLICIES CAN CHANGE AT ANY TIME WITHOUT NOTICE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTCLASSAI'S TOTAL LIABILITY UNDER THIS EULA WILL NOT EXCEED THE AMOUNTS SET OUT IN SECTION 12 OF OUR TERMS OF SERVICE. OUTCLASSAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DISQUALIFICATION FROM AN ASSESSMENT, TERMINATION OF EMPLOYMENT, OR LOSS OF A JOB OPPORTUNITY.

8. Governing Law

This EULA is governed by the laws of Spain, without regard to conflict of laws principles. Any disputes arising under this EULA will be subject to the exclusive jurisdiction of the courts of Spain, subject to any mandatory consumer protection rights you may have under applicable law.
